What is quality of earnings, and why does a buyer want it?
A quality-of-earnings analysis tests whether reported profit is real, repeatable, and transferable. Buyers run it to find out whether the earnings they are paying a multiple on will still be there next year. Sellers who run it first do not get surprised by it.
How much does deal structure change what I keep?
Substantially. How the purchase price is allocated, how much is paid at close versus over time, and how the transaction is characterized for tax all change your net proceeds, sometimes more than negotiating the headline price does.
